Terms of Service

The agreement between you and Spark²Plan when you use the service.

1. Agreement

These Terms of Service ("Terms") govern your use of the Spark²Plan web application and website at spark2plan.com (the "Service"), operated by Spark²Plan (Paolo Taverna), Québec, Canada. By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Spark²Plan is a project-planning and scheduling application: Gantt charts, task dependencies and auto-scheduling, work calendars, baselines, MS Project XML import/export, reports, optional AI-assisted features, and team collaboration. The Service evolves continuously; features may be added, changed, or removed. Material changes to paid features will be communicated reasonably.

You must provide accurate information when creating an account and keep your credentials confidential. You are responsible for activity under your account. Notify us promptly at support@spark2plan.com if you suspect unauthorized use.

You retain all rights to the projects, schedules, and other content you create or import. You grant us only the limited rights needed to host, process, display, and back up that content in order to operate the Service. Export your data at any time via the built-in XML and Excel exports. Our handling of personal data is described in the Privacy Policy.

We may suspend or terminate accounts that violate these Terms, with notice where practicable.

7. AI features

AI-assisted features (such as dependency suggestions and task parsing) produce automated suggestions that may be inaccurate. You are responsible for reviewing AI output before relying on it for scheduling, contractual, or financial decisions.

8. Availability and support

We aim for high availability but the Service is provided without an uptime guarantee. Maintenance, updates, or events beyond our control may cause interruptions. Support is provided by email at support@spark2plan.com on a reasonable-efforts basis.

9. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that scheduling calculations fit any particular contractual or regulatory standard. Some jurisdictions do not allow certain warranty exclusions, in which case they apply only to the extent permitted.

10. Limitation of liability

To the maximum extent permitted by law, Spark²Plan (Paolo Taverna) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or business opportunities, arising from or related to your use of the Service. Our total aggregate liability for any claim arising out of these Terms or the Service is limited to the amounts you paid us in the twelve (12) months preceding the claim (or CAD $50 if you have paid nothing). Nothing in these Terms excludes liability that cannot be excluded under applicable law.

11. Termination

You may stop using the Service and request account deletion at any time. We may terminate or suspend access for material breach of these Terms. Upon termination, your right to use the Service ceases; provisions that by their nature should survive (including Sections 9, 10, and 12) survive termination.

12. Governing law

These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Any dispute shall be brought before the courts of Québec, Canada, and you consent to their jurisdiction — except where applicable consumer-protection law grants you mandatory rights or venue.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected on this page with an updated "Last updated" date, and where reasonable we will provide additional notice. Continued use of the Service after changes take effect constitutes acceptance.
